On Sunday, Alaska Airlines declared its intention to acquire Hawaiian Airlines for $1.9 billion, with the aim of solidifying its standing as the nation’s fifth-largest carrier, contingent upon obtaining regulatory approval.

Per the terms outlined in the joint press release, both airline brands will persist independently, and the finalization of the agreement is anticipated to span up to 18 months.

The amalgamated airlines, boasting a fleet of 365 narrow and widebody aircraft, are poised to serve 138 destinations. Seattle-based Alaska Airlines, traditionally serving the western United States, will designate the Hawaiian capital, Honolulu, as its second major hub.

The merger is envisioned to enhance services for Hawaii residents, providing expanded connectivity to the continental United States, with the added prospect of establishing “new connections to Asia and throughout the Pacific for travelers across the US.”

Highlighting their shared focus on regions heavily reliant on air travel, such as the Pacific archipelago and Alaska, both airlines emphasize an unwavering commitment to Hawaii. The joint statement assures the continuation of robust inter-island services.

Hawaiian Airlines’ CEO, Peter Ingram, expressed optimism about the transaction, citing the potential for accelerated investments in technology while preserving the distinctive Hawaiian Airlines brand through the added scale and resources brought in by Alaska Airlines.

However, securing federal regulatory approval remains uncertain. The backdrop of the fiercely competitive airline industry, coupled with ongoing antitrust scrutiny, has seen previous alliances blocked, as witnessed in the case of American Airlines and JetBlue Airways. The Biden administration is actively opposing the acquisition of Spirit Airlines by JetBlue, emphasizing concerns about potential adverse effects on consumer interests resulting from industry consolidation.
