Board evolution: Southwest Airlines to reduce size, nominate 14 candidates

In today’s Proxy Statement, Southwest Airlines Co. (NYSE: LUV) revealed that its Board of Directors has put forward 14 candidates for election at the Annual Meeting of Shareholders on May 15, 2024. Lisa Atherton is being nominated as a new Director, as previously announced, bringing excitement to the Board. However, Directors Ron Ricks and John Montford will not seek reelection.

“On behalf of the Board, I want to thank Ron and John for their long-standing commitment to Southwest Airlines. They both made an immeasurable positive impact on the Board and our Company, and we owe them a tremendous debt of gratitude for their service,” said Southwest Airlines Executive Chairman of the Board, Gary Kelly.

Should all nominees be elected, the Board will comprise 14 members, a decrease from the present 15. Veronica Biggins, Chair of the Board’s Nominating and Corporate Governance Committee, highlighted, “As the Board evolves, a natural reduction in size can be anticipated, bringing it closer to historical levels in the years ahead.”
