China Southern Airlines to unshackle from U.S. Securities reporting Act of 1934

China Southern Airlines Company Limited (referred to as the “Company”) (HKSE: 01055; SSE: 600029) has announced its decision to withdraw from registration with the United States Securities and Exchange Commission (the “SEC”) and cease its reporting responsibilities as per the U.S. Securities Exchange Act of 1934, as amended (the “Exchange Act”).

On January 23, 2023 (Eastern Standard Time), the Company submitted a Form 25 to the SEC to remove its American depositary shares (the “ADSs”) from the New York Stock Exchange. The delisting officially took effect on February 3, 2023 (Eastern Standard Time), and the American depositary receipt program was concluded on March 6, 2023 (Eastern Standard Time).

Having satisfied the requirements for deregistration, the Company intends to file a Form 15F with the SEC on February 5, 2024, to formally deregister the ADSs and the corresponding overseas listed shares (the “H Shares”) of the Company, thereby ending its reporting obligations under section 13(a) and section 15(d) of the Exchange Act. Subsequently, the Company’s reporting commitments under the Exchange Act will be suspended, unless the Form 15F is later withdrawn or denied. The deregistration and termination of reporting obligations under the Exchange Act are anticipated to become effective 90 days after the submission of Form 15F.

It’s important to note that the Company will remain in compliance with its disclosure and other duties as a listed entity, in accordance with the relevant regulations of The Stock Exchange of Hong Kong Limited and the Shanghai Stock Exchange, as well as any applicable laws and regulations.
