Boeing and Archer Aviation have entered into definitive agreements whereby Archer will purchase Boeing’s companies Wisk Aero, SkyGrid, and Insitu. Through this strategic deal, several decades of know-how in autonomous flying, electric vertical takeoff and landing (eVTOL) airframes, unmanned aerial systems (UAS), and artificial intelligence, will be integrated into a sophisticated end-to-end physical AI infrastructure to enable the evolving needs of the aerospace and defense industry.

The acquisition will bring together complementary technologies and capabilities developed by both companies. Wisk Aero, SkyGrid and Insitu have played a key role in developing autonomous flight systems, advanced air mobility technologies, unmanned aircraft solutions and digital aviation platforms. When combined with Archer’s air taxi programmes, UAS capabilities and ZEE artificial intelligence platform, these technologies are expected to accelerate the development of innovative aviation solutions for commercial and defence markets.

With nearly two million combined flight hours across the acquired businesses, Archer will gain a significant foundation in autonomous operations, flight testing and intelligent aerospace systems. The integration of these capabilities is expected to strengthen Archer’s ability to develop a next-generation physical AI ecosystem that connects aircraft, software, air traffic management and autonomous technologies.

The expanded platform will focus on delivering advanced solutions across multiple areas of aviation, including commercial aerospace, defence operations and future air mobility. By combining autonomous flight expertise with AI-driven systems, Archer aims to support the evolution of safer, smarter and more efficient aviation technologies for the next generation of air transportation.

Archer’s Founder and CEO, Adam Goldstein said, “This is a watershed moment for Archer and the future of physical AI in aerospace and defense. This is the next big step forward in becoming a diversified platform, rapidly growing our revenue base and bringing scale to our business.”

As part of the agreement, Boeing and Archer will establish a collaboration and technology-sharing partnership that will allow Boeing to maintain access to Wisk’s core autonomous flight technologies for its existing and future commercial and defence aircraft programmes. The arrangement enables Boeing to continue benefiting from advancements in autonomous aviation while supporting the development of next-generation aircraft capabilities.

The transaction also allows Boeing to preserve long-term strategic value through its investment stake in Archer, while directing its current and future resources towards strengthening its core aerospace operations and priority business areas.

Wisk Aero has established itself as a major force in the development of electric vertical takeoff and landing (eVTOL) aircraft and autonomous flight technology. The company is recognised for creating, building and testing six generations of eVTOL aircraft, completing more than 1,700 flight tests during its development journey. Over 16 years, Wisk has built advanced autonomous aviation capabilities supported by next-generation flight control systems, sophisticated sensor technology and radar solutions. These innovations are designed to support future certification pathways for commercial aviation and potential defence applications, strengthening the foundation for autonomous flight operations.

SkyGrid focuses on creating the digital infrastructure required for the next era of automated aviation. The company has developed an advanced air traffic management platform that works across different aircraft types, helping enable safer and more efficient integration of autonomous aircraft into future airspace systems. Its technology supports real-time coordination, scalable automation and improved traffic management, providing a critical framework for the growth of advanced air mobility and other emerging aviation solutions.

Insitu has played a pioneering role in the unmanned aircraft systems (UAS) sector, specialising in the development and production of advanced platforms for intelligence, surveillance and reconnaissance missions. The company delivers a range of durable, high-performance and cost-effective unmanned aircraft, including vertical takeoff and landing systems, supported by AI-driven software capabilities. Insitu’s technologies have been deployed by defence forces in 35 countries, helping military operators collect critical information and make faster, more informed decisions. With operations spanning the United States, Australia, the United Kingdom and the United Arab Emirates, Insitu has manufactured and delivered more than 3,500 unmanned aircraft systems, supported by worldwide operational and service networks.

Additional information about the agreement has been included in Archer’s Form 8-K filing submitted to the U.S. Securities and Exchange Commission. The transaction remains dependent on the completion of agreed closing requirements, including regulatory review under the Hart-Scott-Rodino Antitrust Improvements Act. The companies expect the deal to be finalised by the end of 2026.

As part of the transaction process, Archer is supported by Moelis & Company LLC as financial adviser and Fenwick & West LLP as external legal counsel. Boeing has appointed J.P. Morgan Securities LLC as its financial adviser, while Mayer Brown LLP is providing legal guidance for the company.
