Bahrain Family Leisure Company B.S.C. (BFLC) has entered a new chapter of development following the completion of its reverse merger with Truffle Hospitality Holding W.L.L., positioning the listed company for a renewed focus on Hospitality, operational efficiency and F&B expansion across Bahrain and the wider GCC region.

The transition has been marked by the appointment of a new Board of Directors, which has been established to guide the company through its next phase of growth. The leadership changes have followed the merger agreement through which Dividend Gate Capital W.L.L. became the majority shareholder of BFLC.

The newly structured Board is expected to oversee the company’s strategic direction while strengthening governance practices and supporting the continued development of one of Bahrain’s largest listed hospitality and entertainment groups.

New Leadership Structure Strengthens Bahrain Hospitality Strategy

A new leadership framework has been introduced at BFLC following the completion of the share-swap reverse merger with Truffle Hospitality Holding. Mohamed Nedham Khonji has been appointed Chairman of the Board, while Mahmood Mohammed Ali has taken the role of Vice Chairman.

The Board has also been formed with a combination of Non-Executive and Independent Directors. Khaled Mohamed AlHammadi, Wissam Hussein and Faisal Hassan AlJalahma have joined as Non-Executive Directors, while Farooq Mohamed AlKhaja and Ayman Moussa Abdelghany Gadallah have been appointed as Independent Directors.

The appointments have been made for a three-year term in accordance with Bahrain’s Commercial Companies Law and the company’s Articles of Association.

The leadership transition has followed the completion of the merger between BFLC and Truffle Hospitality Holding, the hospitality and entertainment subsidiary of Dividend Gate Capital. Through the transaction, Dividend Gate Capital has become the majority shareholder of BFLC.

The company has also recognised the contribution of its outgoing Directors, with appreciation extended for their service and commitment during their tenure.
