The future looks bright for the international aviation network in Lisbon, Portugal, after the Portuguese Government announced that it has opted to make Lufthansa Group its strategic investor of choice for a minority interest in TAP Air Portugal on October 14, 2026. With an estimated value of up to €1.201 billion, the investment will improve connections in Europe, Brazil, North America and African destinations speaking Portuguese language as well as improving Lisbon’s position as an important hub in the expansion of Lufthansa’s airline network worldwide. Lufthansa has emerged victorious after competing with rival bidder Air France-KLM, whose proposal has been turned down by Portugal’s Council of Ministers after analysing the financial, technical and contractual components of the two proposals. Nonetheless, the deal has not yet been completed and requires the parties to come to an agreement and acquire the necessary clearance from the European competition authorities. It is worth mentioning that the deal is very important in the area of international tourism since TAP Air Portugal operates an extensive air network that covers Portugal, South America, Europe, North America and Africa.

€1.201 Billion Transaction: Understanding the Ownership Structure

The initial transaction covers 44.9% of TAP’s share capital for €1.025 billion. An additional 5% is reserved for employees, with Lufthansa potentially acquiring the unclaimed shares.

If Lufthansa acquires the full 49.9% available under the first phase, the total consideration could reach approximately €1.201 billion, including the applicable transaction adjustments.

The Portuguese Government said Lufthansa’s final offer was approximately 16% higher than the competing proposal from Air France-KLM and carried less financial uncertainty.

The valuation and ownership arrangements preserve majority state ownership during the initial phase, while introducing Lufthansa as TAP’s strategic airline partner.

Lisbon Emerges as Lufthansa’s Gateway to Brazil

The biggest strategic opportunity lies in TAP’s established South Atlantic network. The Portuguese carrier transported approximately 16.7 million passengers in 2025 and operates an extensive international network, with Brazil representing one of its most important long-haul markets.

TAP serves 14 Brazilian cities, connecting Lisbon with major commercial and tourism centres as well as regional destinations that have fewer direct European connections.

The airline’s network provides access to destinations including São Paulo, Rio de Janeiro, Brasília, Recife, Fortaleza, Salvador, Belém and other Brazilian cities.

This allows Lufthansa to strengthen its presence in a market where TAP already has an established customer base, operating infrastructure and airport connectivity.

According to aviation capacity data cited by industry analysis, TAP accounts for approximately 24% of seat capacity between Europe and Brazil. Adding its network to Lufthansa’s wider operations could increase the group’s share to approximately 36%.

The strategic importance extends beyond Brazil. TAP also connects Portugal with Portuguese-speaking African markets, including Angola, Mozambique and Cape Verde, providing Lufthansa with additional access to destinations across the South Atlantic.

Fleet Expansion Could Increase Long-Haul Passenger Capacity

Lufthansa’s industrial plan includes a substantial expansion of TAP’s aircraft fleet, creating opportunities to increase flight frequencies and passenger capacity across international routes.

The Portuguese Government’s announcement outlines the following commitments:

Fleet developmentTarget
Current fleetApproximately 100 aircraft
Fleet by 2035117 aircraft
Longer-term fleet target130 aircraft
Potential Airbus A350-900 transfersUp to 8
Additional fleet investment€3-4 billion

The proposed transfer of up to eight Airbus A350-900 aircraft after 2030 is particularly relevant to TAP’s long-haul operations. These wide-body aircraft could support services to Brazil, North America and other intercontinental markets.

Fleet expansion could also improve connectivity from Lisbon to destinations where passenger demand is growing, while providing additional capacity during peak international holiday seasons.

The longer-term target of 130 aircraft is linked to the development of Portugal’s future airport infrastructure and the expansion of TAP’s operating capacity.

Porto Receives Additional Investment and Aviation Infrastructure Plans

The proposed partnership also includes investment beyond Lisbon.

Lufthansa has committed to strengthening TAP’s presence in Porto, Portugal’s second-largest city and an important tourism gateway for northern Portugal.

The wider industrial programme includes approximately €300 million for a maintenance and engineering facility at Santa Maria da Feira, near Porto. The project is expected to create around 700 jobs.

This investment could strengthen Portugal’s aviation maintenance capabilities while supporting employment and technical training.

For tourism, stronger operations in Porto could improve access to northern Portugal, including the Douro Valley, Braga, Guimarães and coastal destinations.

Lisbon will remain TAP’s principal hub, while Porto is expected to receive a stronger role within the airline’s wider domestic and international network.

€450 Million Annual Synergies and a Wider Airline Network

Lufthansa expects the proposed partnership to generate approximately €450 million in annual synergies once the integration benefits are fully realised.

These gains are expected to come from coordinated commercial activities, network planning, procurement, aircraft maintenance, cargo operations and loyalty programmes.

For international passengers, closer network coordination could create additional connecting opportunities between Lufthansa’s European hubs and TAP’s destinations in South America and Africa.

The proposed integration could also bring TAP into Lufthansa’s existing transatlantic joint venture with United Airlines and Air Canada. However, this would require separate regulatory consideration and should not be treated as an already approved arrangement.

TAP is already a member of Star Alliance, which provides an existing framework for cooperation with Lufthansa and United Airlines.

What the Deal Means for International Tourism

The proposed acquisition could influence several important tourism markets:

  • Brazil: Additional European connectivity could support leisure, family, business and cultural travel between Portugal and Brazilian cities.
  • Portugal: Stronger connections through Lisbon and Porto could improve access to the country’s beaches, historic cities, wine regions and cultural attractions.
  • North America: Greater network coordination could create more connecting options for visitors travelling between the United States, Canada and Portugal.
  • Portuguese-speaking Africa: TAP’s established network could strengthen access to Angola, Mozambique and Cape Verde.
  • European destinations: Lufthansa’s multi-hub network could offer additional connections for international visitors travelling through Frankfurt, Munich, Zurich, Vienna and Brussels.

2028 Completion Target and Regulatory Approval

The first step of the transaction is expected to be completed in the first half of 2028 pending final documentation and approval. The second step may later enable Lufthansa to acquire the remaining share owned by the government on the basis of the proposal for privatisation. The ongoing involvement of Portugal and the terms of any future deal will continue to be crucial elements for deciding on the future ownership structure of TAP. Meanwhile, the choice made on October 14 provides Lufthansa with an advantageous position for further steps and lays the foundation for the expansion of its South Atlantic services. By means of a planned investment of €1.201 billion, a target fleet of 117 planes by 2035 and a plan to have 130 planes in the long run, TAP’s next development stage can consolidate the position of Lisbon as a connecting point between Europe, Brazil, North America and Portuguese Africa.
